Service Agreement

Effective Date: October 13, 2026. This Service Agreement establishes the legal framework governing commercial engagements, scope definition, client rights, and operational deliverables with Amply360 Studio, a business entity owned and operated by Michelle Hon International Pte Ltd (UEN: 201911110W), registered in the Republic of Singapore).

TL;DR SUMMARY

Amply360 Studio delivers professional marketing execution and consulting under contract. You own your finished, fully paid work assets, while all disputes are governed exclusively under Singapore law.

1. Scope of Digital & Strategic Services

Amply360 Studio agrees to perform the digital marketing, strategy consulting, funnel optimization, and creative execution services specifically outlined in your executed Statement of Work (SOW) or active digital service tier. Any additions, out-of-scope requests, or supplemental technical builds require a written change order signed by both parties.

  • Delivery Schedules: Milestones are indicative timelines subject to receipt of necessary client assets and approvals.
  • Third-Party Software: Ad network fees, domain hosting, API subscriptions, and CRM licenses remain direct client expenses.
  • Warranty of Standard: Services are rendered in accordance with professional industry standards and commercial best practices.

TL;DR SUMMARY

Campaign execution depends on prompt client feedback and account access. Project delays resulting from overdue client approvals automatically shift project delivery schedules.

2. Client Obligations & Production Inputs

Timely execution relies upon active client collaboration. The client undertakes to supply all necessary brand collateral, copywriting inputs, technical access tokens, and administrative credentials within five business days of project kickoff.

  • Asset Warranties: The client confirms all provided imagery, trademarks, and copy do not infringe on third-party proprietary rights.

  • Review Windows: Feedback rounds must be returned within 48 hours of asset submission to preserve launch dates.

  • Designated Stakeholder: The client will appoint a single authorized representative with full signing authority for creative sign-offs.

3. Intellectual Property Rights & Asset Ownership

Upon full and final settlement of all invoiced amounts, Michelle Hon International Pte Ltd assigns to the client the exclusive intellectual property rights to custom deliverables created under the applicable project agreement. Amply360 Studio retains ownership of proprietary agency frameworks, pre-existing script libraries, internal optimization models, and standard conversion templates.

Portfolio Rights: Unless explicitly barred by an active Non-Disclosure Agreement (NDA), Amply360 Studio and Michelle Hon International Pte Ltd reserve the worldwide, non-exclusive right to showcase non-confidential project visuals and metrics in professional portfolios, pitch decks, and case studies.

TL;DR SUMMARY

This contract is governed solely by Singapore legal statutes. Any unresolved disputes must be resolved before the competent courts of the Republic of Singapore.

4. Governing Law & Republic of Singapore Jurisdiction

This Agreement, and any non-contractual obligations arising out of or in connection with it, shall be governed by and construed in accordance with the laws of the Republic of Singapore. Both parties irrevocably agree that the courts of Singapore have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.

  • Corporate Identification: Michelle Hon International Pte Ltd, registered under Singapore Company Law.
  • Pre-Litigation Mediation: Prior to formal filing, both parties pledge to attempt thirty (30) days of good-faith mediation through the Singapore Mediation Centre (SMC).
  • Contracts (Rights of Third Parties) Act: A person who is not a party to this Service Agreement shall have no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any term.

5. Term, Cancellation & Orderly Transition

Either party may terminate an ongoing monthly retainer engagement by providing thirty (30) days written notice via registered email. For fixed-scope projects, cancellation prior to completion incurs settlement for all hours accrued and unrecoverable third-party commitments up to the notice effective date.
